TERMS AND CONDITIONS OF USE

These Terms of Use (hereinafter referred to as the “Terms”) constitute a legally binding agreement between AgronetX LLC (hereinafter referred to as the “Operator”) and the persons using the platform (hereinafter referred to as the “User”).

These Terms define:

• the procedure for using the Operator platform,
• the conditions of the services offered through the platform,
• the rights and obligations of users,
• as well as the limits of liability.

The purpose of the platform is to create a digital environment where enterprises and individuals may:

• offer and sell their products,
• acquire or sell agricultural machinery and tools,
• conclude agreements with other users,
• carry out other transactions related to agricultural business.

The Operator is not a party to transactions concluded between users and bears no responsibility for the conclusion or execution of transactions, including the validity of concluded transactions, supply of goods, provision of services, compliance with deadlines thereof, quality of supplied goods or other conditions, execution of payments, as well as other violations or disputes provided for by transactions and arising from their terms, except where the Operator assumes obligations in relation to specific transactions. Notwithstanding the foregoing, in the event of disputes between Users, the Operator shall provide the information available to it relating to the Users and/or the transactions concluded by them for the purpose of dispute resolution.

The platform may be used by natural persons who have reached the age of 18, as well as legal entities and their authorized representatives.

Use of the application by persons under the age of 18 is permitted only with the consent and responsibility of a legal representative, if the relevant functionality of the platform is available to them.

Registered users are Persons who register on the platform, carry out transactions, publish announcements, and these Terms fully apply to them.

Upon registration on the platform or prior to carrying out a transaction, the user is provided with a clear notice: “Continue” or “Register”. Such action constitutes acceptance of these Terms.

Without consent, use of the services is not possible.

The operator of the platform is AgronetX LLC Official platform: (insert URL)

The Operator:

• ensures the technical operation of the platform,
• provides user support in accordance with this agreement,
• carries out modifications and updates of the platform content,
• performs other activities defined in this document and in other documents presented on the platform and therein.

The Operator performs its functions within reasonable limits and is responsible only for obligations assumed by it in written form.

The Operator is an intermediary informational platform. The Operator:

• except where expressly stated otherwise on the platform or in terms of the relevant transaction, the Operator is not a seller, buyer or supplier. The Operator reserves the right in the future to offer and sell its own goods and/or services through the platform,
• is not a party to transactions (unless specifically stated),
• does not participate in the execution of payments (unless specifically stated),

All relations between users are formed directly between them.

A registered user shall:

• provide accurate information,
• maintain the confidentiality of login credentials,
• fulfill other obligations provided by this agreement and the platform terms.

The Operator may:

• carry out identification,
• restrict or suspend the account,
• perform other obligations provided by this agreement and the platform terms.

Through the platform users may:

• conclude agreements,
• carry out sale, purchase and rental transactions,
• acquire equipment and services,

The Operator:

• does not control such transactions,
• does not verify their terms,
• does not guarantee their performance,
• is responsible only for obligations assumed in relation to specific transactions.

All risks arising from transactions are borne by the parties to the transaction.

The Operator bears no liability (In relation to transactions) for:

• the quality of goods,
• performance of agreements,
• payments,
• deliveries,
• as well as compliance with other transaction terms, except for obligations assumed in relation to specific transactions.

The Operator bears no liability (For users’ actions) for:

• fraud,
• false information,
• violation of conditions.

The Operator bears no liability (For consequences of platform use) for:

• financial damages,
• losses,
• loss of data,
• business risks.

The Operator bears no liability (For technical issues) for:

• platform unavailability,
• errors,
• interruptions.

The liability of the Operator is limited to the maximum extent permitted by law.

The User shall provide accurate, complete and up-to-date information during registration.

The User is responsible for maintaining the confidentiality of the account login data, including the password and other identification means.

The User shall immediately notify the Operator’s administrator of unauthorized access to the account, suspicious activity or any security breach by sending an appropriate message.

The Operator has the right, if necessary, to carry out additional account verification, temporarily restrict access or suspend the account.

The User is fully responsible for any content published or uploaded by him/her on the Operator’s platform.

The User guarantees that the content published by him/her is accurate, lawful and does not violate the rights of third parties.

By publishing content on the platform, the User grants the Operator a non-exclusive, free of charge, territorially unrestricted right to display, store, technically process and use such content within the scope of the platform’s operation.

The Operator has the right, at its discretion, to review, close, cancel, block or delete any announcement if it contradicts these Terms, applicable legislation or the purposes of the platform.

Users are prohibited from carrying out activities that contradict these Terms, as well as the requirements established by the laws and legal acts of the Republic of Armenia, including publication of false announcements, spam messages, use of bots and publication of goods or services prohibited by law.

The use of false personal data, false organization data, registration on behalf of another person or transfer of an account is prohibited.

The Operator has the right to immediately close, cancel, block or delete such content.

Contact information becomes available only based on business logic, approval of applications and the established rules of the system.

Users are prohibited from using such data for spam messages, mass sales, unauthorized advertising, harassment or other purposes contrary to the purposes of the platform and these Terms.

The Operator has the right to restrict or block access to contact information, as well as apply appropriate measures in case of violation of this clause.

The Operator processes users’ personal data exclusively for lawful purposes.

The detailed procedure for processing personal data, retention periods, security measures, as well as the user’s rights are also defined by the Operator’s separate Privacy Policy, which constitutes an integral part of these Terms.

The User has the right to view, edit and update personal data within the functionalities available in the application, as well as close the account.

In case of account closure, further storage and processing of personal data shall be carried out in accordance with the procedure permitted by law and established for the operational purposes of the platform.

The Operator may provide users’ data to competent state authorities, courts, law enforcement or supervisory authorities upon their request, in the manner and cases established by the laws of the Republic of Armenia.

• The Operator has the right, based on announcements published on the platform and other non-personal data, to carry out depersonalized, aggregated, statistical analyses, including studies of market, prices, supply, demand, industry trends and regional activity.
• Such analyses may be used for platform development, service improvement, market research, preparation of reports, as well as future commercial and analytical purposes.
• The Operator may provide or commercially offer only depersonalized and aggregated market data and analytical reports that do not include personal data and do not allow identification.

• The Operator’s name, logo, design, data logic and all other components of the platform are the property of the Operator.
• Without the Operator’s prior written consent, copying, reproduction, distribution or commercial use of any part of the platform is prohibited.

At the current stage, the Operator is not a payment processor.

The Operator has the right to establish payments for certain current and future services, functional capabilities and commercial offers of the application.

The Operator has the right to display advertising, informational or promotional content of its partners, sponsors, advertisers and other commercial partners in the application and related services.

The Operator undertakes reasonable measures to ensure uninterrupted and secure operation of the platform, however does not guarantee permanent, continuous and error-free availability of the service.

The service may be temporarily restricted, suspended or become unavailable due to technical maintenance, updates, security measures, communication failures, disruption of third-party services or force majeure circumstances.

The Operator bears no responsibility for such temporary restrictions, interruptions or damages caused thereby, if they arose due to reasons beyond the platform’s control or due to technical necessity.

The Operator shall use best efforts for prompt elimination of any non-standard situation to ensure the conditions intended for preservation of users’ data and/or execution of transactions.

The Operator bears no responsibility for illegal use of information, damages, expenses caused as a result of hacker attacks and other unlawful or criminal activities.

The Operator bears no responsibility for disputes arising between users, transactions, payments, quality of goods or services, deliveries, as well as direct or indirect damages arising therefrom.

Each user bears full responsibility for his/her actions, published content and relations with other users.

Users may submit complaints, reports on violations, data protection requests and other official notifications through the official communication channels established by the Operator.

The Operator undertakes to review such applications within reasonable timeframes.

The Operator has the right to temporarily suspend, restrict or permanently close the user’s account in case of violation of these Terms.

The User has the right at any time, on his/her own initiative, to close the account through the functionalities available in the application or by submitting a corresponding request to the Operator.

In case of account closure or prolonged inactivity by the user, personal data may be retained for the period established by law or necessary for the operational purposes of the platform, after which, unless otherwise provided by law, they shall be subject to deletion no later than within 3 (three) months.

Closure of the account does not release the user from agreements, understandings or obligations reached with other users prior to that moment, and the Operator bears no responsibility for the execution, violation or consequences of such relations.

Suspension or closure of the account does not release the user from obligations arising prior to that moment.

These Terms shall be governed and interpreted in accordance with the applicable legislation of the Republic of Armenia.

Disputes arising between Users and the Operator shall first be resolved through negotiations and mutual agreement.

If the dispute cannot be resolved through negotiations, it shall be subject to examination in the competent courts of the Republic of Armenia in accordance with the procedure established by applicable legislation.

In the event of contradiction between different language versions, the Armenian version shall prevail.

The Operator has the right at any time to amend, supplement or update these Terms.

The updated version enters into force from the moment of its publication or from another period specified by the Operator.

Further use of the platform shall be deemed acceptance of the amended Terms.

If any provision of this Agreement is declared invalid by a competent court, the remaining provisions shall remain in force.
